Terms of service

The terms on which Africa One Group provides AfriBMS to your company: accounts, subscriptions, the free trial, payment, your data and what each side may expect of the other.

These terms are an agreement between the company that opens an AfriBMS account (you, your company) and Africa One Group (we, us), which provides AfriBMS. By creating a company workspace or using the service you accept them on behalf of your company.

1. The service

AfriBMS is business management software used through a web browser at app.afribms.com. Today it provides invoicing, customer records and payment tracking; further modules (sales and CRM, products and inventory, accounting, HR and payroll) are added over time. A module marked "coming soon" on our website is not yet part of the service and we do not promise a date for it.

We may improve, change or withdraw parts of the service. Where a change removes something your company relies on, we will tell you by email at least 30 days before it happens.

2. Accounts and company workspaces

Each company has its own workspace. The person who creates it is its owner and is responsible for the people who use it, for keeping passwords private and for everything done in it. Tell us at once if you believe an account has been used without permission, and keep your contact email current, because it is how we reach you about your subscription.

3. Subscriptions and the free trial

A new workspace starts with a free trial of 14 days on the Business plan. We do not take a card to start it and nothing is charged when it ends: you choose a plan and pay, or you stop.

Plans, prices and what each includes are published on our pricing page. A subscription covers the whole company, not each user, and is bought for a period of one month or one year.

A subscription runs for the period you have paid for and does not renew by itself. We remind you before it ends. If it is not renewed within 7 days of ending, the workspace becomes read-only — you can still view, download and export everything in it — until you pay for a new period. An upgrade takes effect when you pay for a fresh period of the new plan; there is no proration.

4. Payments

Subscriptions are paid in advance through Flutterwave checkout, which takes cards and mobile money (MTN and Airtel; Zamtel in Zambia), in the currency shown at checkout. Prices are shown excluding VAT. We may change prices with at least 30 days' notice by email; a change never applies to a period you have already paid for. Payments are not refundable except where these terms or the law say otherwise.

5. Acceptable use

You may use AfriBMS to run your own company's business. You may not use it to send unsolicited messages, to store or distribute anything unlawful, to reach data that is not yours, to test or overload the service, or to build a competing product from it. We may suspend a workspace that breaks these rules after asking you to stop, or at once where other customers are at risk.

6. Your data

Everything you enter — customers, invoices, payments and the rest of your company's records — belongs to your company. We use it only to provide the service and as our privacy policy describes. Your data is yours: ask and we will export it for you in a common format within 14 days.

You are responsible for the accuracy of what you enter and for keeping the records the law requires of your company, including tax records. AfriBMS helps you produce them; it does not file them.

7. Availability and support

We aim to keep the service available at all times and monitor it continuously, but we do not guarantee uninterrupted access. Planned maintenance is announced in advance.

Every plan includes email support, and the Enterprise plan adds priority support on WhatsApp. We answer within one working day.

8. Termination and data retention

You may stop at any time by not buying another period; the workspace stays available until the period you have paid for ends, and read-only after that. We keep your data for 30 days after a workspace is closed so that you can export it, then delete it, and from backups within a further 30 days.

We may end this agreement if your company breaks these terms and does not put it right within 14 days of being told, or at once for serious misuse. If we withdraw the service altogether we give at least 90 days' notice and the same 30-day export period.

9. Liability

We provide the service with reasonable skill and care. To the extent the law allows, we are not liable for loss of profit, loss of business or indirect loss, and our total liability to your company in any twelve-month period is limited to the fees you paid us in that period. Nothing here limits liability for fraud or for anything the law does not allow to be limited.

10. Changes to these terms

We may update these terms. Material changes are announced by email at least 30 days before they take effect and the current version is always at afribms.com/terms. Using the service after that date means you accept the change.

11. Governing law

These terms are governed by the laws of Uganda, and the courts of Uganda have jurisdiction over any dispute that cannot be settled by discussion. The owner will confirm the governing law and the contracting entity before these terms take effect.
